Committee members
Andrew Tusa (Chairman)
An Associate of the Institute of Investment Management and Research, after graduating from Oxford from a Hons degree in music in 1987, Andrew was an opera singer for eight years. In 1995 he joined Deutsche Asset Management as a UK Fund and Utilities Analyst. He was Head of Corporate Governance until March 2005 when he joined Merrill Lynch Investment Management as the Director of Corporate Broking, Europe.
James Agnew
James has been Co-Head UK Corporate Broking Deutsche Bank since 2002. He is also a Non-Executive Director of Melrose Resources Plc since November 2007. Previously was Co-Head Corporate Broking of Merrill Lynch (1995 – 2002), Corporate Broking Director of Smith New Court (1990 – 1995) and prior to 1990, Corporate Broking Director of CCF Laurence Prust.
Ralph Barber
A Fellow of the Institute of Chartered Secretaries and Administrators, Ralph has been Group Company Secretary with HSBC Holdings plc since 1990. He joined HSBC in Hong Kong in 1980; and was previously Corporation Secretary of the Hong Kong and Shanghai Banking Corporation Limited from 1986 to 1992 and Company Secretary of HSBC Bank plc (formerly Midland Bank plc) from 1994 to 1996. Previously with Jardin Matheson & Co (1976 – 1980) and Tozer Kemsley & Millbourn Holdings (1973 – 1976).
Gavin Boyle
Gavin Boyle is a Managing Director and senior portfolio manager for Tudor Capital (U.K.), L.P. ("Tudor"), a member of the Tudor Group of companies. He has responsibility for Tudor's fundamentally driven pan-European long/short equity portfolio. This portfolio covers a broad spectrum of equity investments. Gavin joined Tudor in 1996, and has been a Managing Director of Tudor since 2002. He is a member of Tudor's UK management committee. Prior to joining Tudor, Gavin held a number of roles at Bankers Trust Company, most notably in "special loans" (workouts) during the period 1990 to 1993. He later managed proprietary capital for Bankers Trust's Equity arbitrage team. Gavin is a founding Director of the education focussed charity SHINE. He served as Chairman of SHINE for five years. Gavin graduated from Cambridge in 1990 and holds an MA in economics.
Adam Brett
Adam Brett is a Managing Director at JPMorgan Cazenove. Having previously qualified as a Chartered Accountant he joined Flemings in 1998 where he worked in the international M&A group. Upon the integration of the M&A teams of JPMorgan, Chase Manhattan and Flemings in 2000 he became a member of the UK M&A team at JPMorgan. Having advised on its creation he subsequently joined JPMorgan Cazenove, the UK investment banking joint venture between JPMorgan and Cazenove, in March 2005. He became Head of the EMEA Metals and Mining Group in 2007 and has extensive experience advising clients on mergers, acquisitions, disposals and capital raisings. He is a Member of the Institute of Chartered Accountants of England and Wales.
Lachlan Burn
Lachlan graduated in 1973 from Bristol University and then joined Linklaters London. He became a Partner of Linklaters Paris in 1982 and a Partner of Linklaters London in 1987 to date. He was previously a member of the Legal Risk Review Committee from 1992 – 1994.
William Claxton Smith
William Claxton Smith has been involved in corporate governance and regulation issues for many years. As the Head of Governance, at Insight Investment, he is now focusing entirely on corporate governance activity, He is a member of a number of industry bodies including the Investment Committee of the Association of British Insurers and the CBI Companies Committee. In 1976 he joined Insight Investment initially working as a UK Equity Analyst, then as a Fund Manager responsible for Insight’s Equity High Income Fund for 19 years until January 2004.
David J Jackson
David graduated from University of Bristol with LLB (Hons) in 1974 and is now Company Secretary, BP plc. David is also currently a Director of Business in the Community, a Chairman of the Leadership Team of Business in the Environment and Director of BP Pensions Trustees Limited. His career also includes Special Counsel, BP (2002), General Counsel and Company Secretary, Powergen Group (1989 – 2002), Assistant Legal Advisory, AMEC plc (1989), Legal Advisor, Matthew Hall plc (1986 – 1989) and various other legal appointments including Chloride Group, Nestle UK and Barlow Lyde and Gilbert.
Huw Jones
Huw is Director of Corporate Finance with M&G Investment Management Limited. Huw joined the Prudential's investment team in 1972, and is now Director of Corporate Finance at M&G Investment Management. For many years he has been actively involved in developing best practice in the relationship between institutional investors and Boards of companies. He is a past Chairman of the Investment Committee of the Association of British Insurers.
Adam Kinsley
Adam Kinsley is a member of the Institute of Chartered Accountants in England and Wales. He joined the London Stock Exchange in 1999, where he is now Director of Regulatory Strategy. He is a Board Member of the Federation of European Securities Exchanges, and a member of the European Commission's 'Expert' Securities Group. Adam spent 5 years at KPMG, having also worked for Citicorp Scrimgeour Vickers and Barclays de Zoete Wedd.
Sir Laurie Magnus
Sir Laurie has been Vice Chairman of Lexicon Partners since 2001. He is a former Managing Director of Donaldson, Lufkin and Jenrette (1995 - 2001) and Director of HSBC Investment Bank / Samuel Montagu (1977 - 1995). He is currently a Non-Executive Director of TT Electronics plc and the J.P. Morgan Fleming Income & Capital Investment Trust plc and Chairman of the Finance Committee of the National Trust and an elected member of its Council.
Linda Main
Linda Main is a Partner, Transaction Services, and is Head of the Capital Markets Group, London for KPMG. She is an Associate of the Institute of Chartered Accountants in England and Wales and obtained a BSc (Hons) from Birmingham University. Linda joined KPMG in 1984 worked in audit until 1995. From 1995 to 1997 she was seconded to the London Stock Exchange where she worked in the Listing Group (now the UKLA) reading and approving listing documents and advising companies on the application of the Listing Rules. On returning to KPMG in 1997 Linda joined Transaction Services and has been a partner since 2001. Linda’s primary focus is as reporting accountant for IPOs of all sizes including companies from the US, Far East and Europe. Linda works with the Quoted Companies Alliance which represents the needs of smaller quoted companies and sits on their Markets and Regulations and Membership committees. Linda recently took over the leadership of KPMG’s Capital Markets Group from Tony Fry and she is also responsible for KPMG’s Business Modelling Group, which provides financial and non financial modelling for clients.
Nick Mourant
A Fellow of the Institute of Chartered Accountants in England and Wales and a member of the Association of Corporate Treasurers. Nick joined Tesco plc in 1988 and in May 2004 was appointed Group Treasurer with responsibility for banking relationships, funding and financial services for the world wide Tesco Group.
Richard Weaver
Richard Weaver leads the specialist London Capital Markets Group within PricewaterhouseCoopers and, during the last year, has advised transactions involving companies such as Anglo American, Macquarie Bank and Standard Life. Richard is a member of the London Stock Exchange’s Primary Markets Group and retains a senior audit role on two FTSE 250 companies. Richard was seconded to HM Treasury during 2003-2005, where he acted as lead policy adviser on the implementation in the UK of the European Prospectus Directive. For much of his career, he has specialised in advising on major capital markets transactions for companies such as AXA and Friends Provident plc.
